EQUITY INVESTMENT OPPORTUNITY
The shareholders are open to considering the sale or issue of equity ranging from a 30% minority interest through to a majority or controlling shareholding, subject to negotiation with the incoming investor.
Total Business Valuation: $8,300,000
Based on this valuation, a 30% equity interest would represent approximately $2,490,000, subject to the agreed transaction structure, due diligence and final negotiations.
GROWTH AND PROFITABILITY POTENTIAL
FY2026 was a significant transition year, with earnings affected by warehouse relocation, duplicated occupancy costs, incomplete racking and other consolidation-related expenses.
Management believes that an additional investment of approximately $1 million into infrastructure upgrades—including racking, warehouse security, operational systems and capacity improvements—could materially improve operating efficiency and profitability.
Following the proposed infrastructure investment, completion of the consolidation program and successful conversion of identified customer opportunities, management forecasts that annual profitability could potentially increase to approximately $2 million to $2.5 million. This projection is management-prepared and remains subject to commercial validation, execution and independent due diligence.
Management has also identified approximately $2 million in potential new-customer revenue and a further estimated $1 million to $2 million opportunity from existing customers.
TRANSACTION
The preferred transaction structure is a share sale or share issue. Alternative investment structures may also be considered.
Key management members are prepared to provide an agreed transition and handover, with longer-term involvement available by negotiation.
This opportunity may particularly suit an established logistics, transport, warehousing or fulfilment operator—or a strategic investor—seeking scale, customer diversification and a significant Western Melbourne operating platform.
